Tax On Wholesale?

I have just started selling a few items wholesale to a company. I need to send them an invoice of what they owe me. do I charge tax on wholesale items?

It may differ from state to state but I needed to have either their copy of their tax exempt status or have them complete a form indicating they intended to re-sell these items and the sales tax would be collected by them. I couldn't just NOT charge sales tax .... I had to have documentation as to WHY I wasn't charging it.
